What Is Capacity to Contract?
Capacity to contract refers to a person's legal ability to enter into a binding agreement. For a contract to be enforceable, all parties must have the mental and legal capacity to understand what they are agreeing to and the consequences of their commitment. Who Has Capacity?
Generally, any person of legal age who is of sound mind has the capacity to enter a contract. Specific groups that may lack capacity include:
- Minors — persons under the age of majority (18 in most U.S. states) can typically void contracts they enter, with limited exceptions for necessities
- Mentally incapacitated persons — individuals who cannot understand the nature and consequences of the agreement due to mental illness, cognitive impairment, or similar conditions
- Intoxicated persons — someone so intoxicated they cannot understand the agreement may later void it, though this is harder to prove
- Entities without authority — a corporation or LLC must act through authorized representatives; an unauthorized agent cannot bind the entity
Voidable vs. Void
A contract signed by someone lacking capacity is typically voidable — not automatically void. This means the person without capacity (or their guardian) can choose to affirm or disaffirm the contract. The other party generally cannot void the contract on capacity grounds.
Practical Implications
Capacity issues arise more often than many people realize:
- Elderly relatives signing complex financial agreements
- Employees signing agreements under extreme emotional distress
- Business deals signed by someone without proper corporate authority
