By accessing or using ContractAnalyzer ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ContractAnalyzer is an AI-powered contract analysis tool that provides automated risk assessment, clause analysis, and negotiation suggestions for legal documents. The Service processes uploaded documents using artificial intelligence and returns structured analysis reports.

3. Not Legal Advice

The Service does not provide legal advice. All analysis, risk scores, and recommendations generated by ContractAnalyzer are for informational purposes only and should not be relied upon as a substitute for professional legal counsel. We strongly recommend consulting a qualified attorney before making legal decisions based on our analysis.

ContractAnalyzer is not a law firm, does not employ attorneys in connection with the Service, and does not create an attorney-client relationship with users.

4. User Obligations

By using the Service, you represent and warrant that:

• You have the legal right to upload and analyze the documents you submit
• You will not upload documents containing malware or malicious content
• You will not attempt to circumvent rate limits or abuse the Service
• You will not use the Service for any unlawful purpose
• The documents you upload do not exceed 50 pages or 10MB in size

5. Payments and Refunds

5.1 Pricing

Contract analysis reports are available for a one-time fee of $4 per document. Prices are displayed in USD and are subject to change with notice.

5.2 Payment Processing

Payments are processed securely through Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service.

5.3 Refund Policy

Due to the nature of digital analysis services, all sales are final once the analysis report has been generated and delivered. If you experience a technical issue that prevents report delivery, contact us at support@contractanalyzer.io and we will resolve the issue or provide a refund.

6. Intellectual Property

6.1 Your Content

You retain all rights to the documents you upload. We do not claim any ownership over your uploaded content. As described in our Privacy Policy, uploaded documents are processed in memory and never stored.

6.2 Analysis Reports

Analysis reports generated by the Service are provided for your personal or internal business use. You may share, print, or export your reports as needed.

6.3 Our Service

The ContractAnalyzer service, including its AI models, algorithms, interface, and branding, are proprietary. You may not copy, modify, reverse engineer, or create derivative works from the Service.

7. Accuracy and Limitations

While we strive for accuracy, AI-generated analysis may contain errors, omissions, or misinterpretations. Specifically:

• Risk scores are algorithmically generated estimates, not definitive legal assessments
• Clause analysis may not capture every nuance of complex legal language
• Industry comparisons are based on general standards and may not reflect jurisdiction-specific norms
• Suggested counter-clauses are starting points for negotiation, not final legal language

You should always have important contracts reviewed by a qualified attorney.

8. Limitation of Liability

To the maximum extent permitted by law, ContractAnalyzer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid for the specific analysis report giving rise to the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or security purposes without prior notice.

11. Termination

We reserve the right to suspend or terminate access to the Service for users who violate these Terms, abuse the platform, or engage in fraudulent activity.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. Material changes will be indicated by updating the "Last updated" date.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation before pursuing formal legal proceedings.
