Vendor Contract Checklist: What to Verify Before Signing
Essential Items to Review in a Vendor Contract
Vendor contracts govern your relationship with suppliers, service providers, and business partners. A thorough review before signing can prevent costly disputes and operational disruptions.

- Are the products or services described with enough specificity?
- Are quality standards or specifications defined?
- Is the process for change orders or scope modifications documented?
- Are acceptance criteria and testing procedures specified?
Pricing and Payment
- Is the pricing structure clear (fixed, per-unit, time-and-materials)?
- Are all fees disclosed, including setup, training, and support costs?
- Can the vendor increase prices, and with what notice and limitations?
- What are the payment terms (net 30, net 60)?
- Are there volume discounts or minimum purchase commitments?
Performance and Service Levels
- Are there service level agreements (SLAs) with measurable metrics?
- What happens when the vendor misses an SLA — credits, right to terminate?
- How is performance measured and reported?
- Is there a cure period for performance failures?
Liability and Insurance
- Is the vendor's liability capped, and is the cap reasonable?
- Does the vendor carry adequate insurance (general liability, professional liability, cyber)?
- Are you named as an additional insured?
- Is indemnification adequate for third-party claims caused by the vendor's services?
Confidentiality and Data Security
- Is the vendor obligated to protect your confidential data?
- Are there specific security requirements (encryption, access controls, audits)?
- Does the vendor use subcontractors, and are they bound by the same obligations?
- What is the breach notification process and timeline?
Termination and Transition
- Can you terminate for convenience, and with what notice?
- Is there a termination-for-cause right with a reasonable cure period?
- What transition assistance does the vendor provide upon termination?
- Are there early termination penalties?
- What happens to your data and materials after termination?
Exclusivity and Lock-In
- Does the contract require exclusivity — must you use only this vendor?
- Are there auto-renewal provisions with tight cancellation windows?
- Is data portability ensured so you can switch vendors?
