Freelance Contract Checklist: Review These Before Signing
Why a Checklist Matters
Freelance contracts set the terms for your working relationship, payment, and intellectual property rights. Missing a critical clause can leave you unpaid, overcommitted, or without ownership of your own work.
Payment Terms
- Payment amount and structure (fixed, hourly, milestone-based) is clearly stated
- Payment schedule and due dates are specified (net-15, net-30)
- Late payment penalties or interest are included
- Deposit or upfront payment requirement is defined
- Who covers expenses (travel, software, materials) is addressed
- Currency and payment method are specified
Scope of Work
- Deliverables are clearly defined with specific descriptions
- Timeline and deadlines are realistic and documented
- Revision rounds are capped (e.g., 2 rounds of revisions included)
- Process for handling out-of-scope requests is defined
- Acceptance criteria are specified
Intellectual Property
- IP ownership is clearly assigned (to you or the client)
- Pre-existing IP you bring is carved out from any assignment
- Portfolio rights are preserved (can you show the work in your portfolio?)
- License terms are defined if you retain ownership but grant usage rights
Confidentiality and Restrictions
- Confidentiality obligations are reasonable in scope and duration
- Non-compete restrictions, if any, are narrow and time-limited
- Non-solicitation restrictions are proportionate
Termination
- Either party can terminate with reasonable notice
- Payment for completed work upon termination is guaranteed
- Kill fee or cancellation fee is included if the client terminates early
Liability and Disputes
- Liability is capped at a reasonable amount (typically total contract value)
- Indemnification obligations are mutual or limited
- Dispute resolution method is specified (mediation, arbitration, litigation)
- Governing law and jurisdiction are stated
